Welcome to TownShed, operated by Prime Exchange Capital LLC ("Company," "we," "us," or "our"). By accessing or using TownShed, you agree to be bound by these Terms of Service. Please read them carefully.
By creating an account or using TownShed, you confirm that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and agree to these Terms of Service and our Privacy Policy. If you do not agree, you may not use TownShed.
TownShed is a peer-to-peer equipment rental marketplace that connects individuals who wish to rent their personal property ("Lenders") with individuals who wish to rent such property ("Renters"). TownShed is a platform only — we are not a party to any rental transaction between users and do not own, control, or manage any listed items.
You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.
Lenders are solely responsible for the accuracy of their listings, including descriptions, photos, pricing, and availability. Renters are responsible for returning items in the same condition as received. Both parties agree to coordinate pickup and return through the TownShed platform. TownShed is not responsible for the condition, safety, legality, or any other aspect of listed items.
TownShed charges a 5% service fee on all completed rental transactions. This fee is automatically deducted from the rental total and supports platform operations, payment processing, customer support, and security features. The fee is disclosed to both parties before booking confirmation.
All payments are processed through our third-party payment providers (Stripe and Plaid). By using TownShed, you agree to their respective terms of service. TownShed does not store payment card numbers or bank credentials on our servers. Funds are held in escrow until rental completion and released to Lenders within 24 hours of return confirmation, subject to dispute resolution.
Users may not list or rent: firearms, weapons, or ammunition; illegal substances or drug paraphernalia; items that violate intellectual property rights; live animals; adult content or materials; items that pose unreasonable safety risks; or any item prohibited by federal, state, or local law. TownShed reserves the right to remove any listing at our sole discretion.
TownShed provides a dispute resolution process for rental disagreements. In the event of a dispute, funds are held in escrow pending resolution. Our team will review evidence submitted by both parties and make a determination within 2-3 business days. TownShed's decision is final and binding. Users who file fraudulent disputes may have their accounts suspended.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOWNSHED AND PRIME EXCHANGE CAPITAL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO TOWNSHED IN THE PAST 12 MONTHS.
You agree to indemnify and hold harmless TownShed, Prime Exchange Capital LLC, and our officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney's fees) arising from your use of the platform, your listings or rentals, your violation of these Terms, or your violation of any third-party rights.
Your use of TownShed is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using TownShed, you consent to our collection and use of your information as described in the Privacy Policy.
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or in-app notification. Your continued use of TownShed after changes take effect constitutes your acceptance of the revised Terms.
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Osceola County, Florida.
